Agility Robotics shareholders approve Churchill XI combination; AGLT listing set for Nov. 5
At a special meeting on November 2, shareholders of Churchill Capital Corp XI approved the business combination with humanoid robotics company Agility Robotics and all related proposals, with more than 84% of votes cast in favor. The deal is expected to close on November 4. The combined company will operate as Agility Robotics, Inc., with common stock and warrants expected to begin trading on Nasdaq on November 5 under the tickers AGLT and AGLTW. As previously outlined on October 30, expected gross proceeds from the combination and related financings total about $465 million before expenses:
- roughly $164 million from Churchill XI’s trust account;
- about $201 million from a common-stock PIPE at $10 per share, led by Foxconn with participation from existing Agility stockholders and new institutional investors;
- $100 million of equity funding already received after the deal was announced.
When the merger was announced, Agility’s pre-money equity value was about $2.5 billion. The company says that upon closing it expects to be the only U.S.-listed pure-play humanoid robotics firm with active commercial Digit deployments, and that the capital will support commercial expansion and faster customer rollouts.
